TERMS AND CONDITIONS FOR CUSTOMERS

COMPANY NAME: VF Decolletage
These General Terms and Conditions of Sale (General Terms) govern all transactions between VF Decolletage (“Seller”) and its customers (“Buyer”). By placing an order with Seller, Buyer agrees to the following terms:
1. Application
These General Terms apply to:
(a) All proposals and quotations submitted by VF Decolletage.
(b) All purchase orders received by Seller.
(c) All sales of precision-machined components and related services provided by Seller.
Any services provided by Seller, whether independent or as part of a sale of goods, shall be considered ancillary to a sale of goods, and the Uniform Commercial Code (UCC) shall apply.
2. Formation of Agreement
A written quotation from Seller constitutes an offer to sell. Buyer’s acceptance of the quotation forms an agreement upon:
- Signing and returning the quotation.
- Submitting a purchase order referencing the quotation.
- Providing manufacturing or delivery instructions after receiving the quotation.
- Accepting delivery of goods or making payment for all or part of the goods.
All sales consist only of these General Terms and any additional terms agreed upon in writing by Seller. Seller rejects any conflicting terms proposed by Buyer.
3. Pricing, Payment, and Risk of Loss
3.1 Prices
- Prices quoted are valid for 180 days unless otherwise specified.
- Prices exclude taxes, duties, and shipping costs unless explicitly stated.
- Any material cost fluctuations may impact final pricing.
3.2 Payment Terms
- Standard payment terms are Net 30 days from the invoice date.
- Late payments may incur interest charges of 2% per month.
- Payment methods include bank transfer, credit card, or other agreed-upon methods.
- Large or custom orders may require advance payment or deposit.
3.3 Risk of Loss & Title
- Goods are shipped F.O.B. Seller’s dock unless stated otherwise.
- Risk of loss transfers to Buyer upon shipment.
- Seller retains title to goods until full payment is received.
4. Order Processing & Manufacturing
4.1 Production & Lead Times
- Lead times are estimated upon order confirmation and may vary due to workload, material availability, or force majeure.
- Expedited orders may incur rush fees.
4.2 Design Modifications & Custom Orders
- Orders are manufactured strictly per Buyer’s specifications.
- Changes after confirmation may result in additional costs and revised lead times.
5. Shipping & Delivery
- Seller ships via carrier of Buyer’s choice (or selects a carrier if unspecified).
- Shipping costs, duties, and insurance are Buyer’s responsibility.
- Seller is not liable for delays caused by carriers, customs, or unforeseen disruptions.
6. Quality Assurance & Warranty
6.1 Inspection & Acceptance
- Buyer must inspect goods within 30 days of delivery and report any defects.
- Failure to report issues within this period constitutes acceptance.
6.2 Warranty Coverage
- Seller warrants that products will be free from material and workmanship defects for 12 months.
- Warranty excludes damages caused by misuse, improper handling, or modifications.
- Defective goods may be repaired, replaced, or credited at Seller’s discretion.
7. Returns, Cancellations & Refunds
7.1 Returns
- Returns are only accepted for defective or non-conforming goods.
- Custom orders are non-refundable unless manufacturing defects are proven.
- Buyer must obtain written authorization before returning goods.
7.2 Cancellations
- Orders may be canceled only before production begins.
- Cancellations after production starts may be subject to cancellation fees.
8. Intellectual Property & Confidentiality
- Seller retains all rights to any designs, blueprints, or proprietary processes used in manufacturing.
- Buyer agrees not to disclose Seller’s confidential information to third parties.
9. Limitation of Liability
- Seller is not liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the purchase price of the defective goods.
10. Force Majeure
Seller is not responsible for delays or failures caused by:
- Natural disasters, fires, floods, or pandemics.
- Supply chain disruptions or labor strikes.
- Government regulations or unforeseen circumstances beyond Seller’s control.
11. Governing Law & Dispute Resolution
- These Terms are governed by the laws of Vietnam.
- Any disputes will first be resolved through negotiation. If unresolved, disputes may be settled by arbitration or legal proceedings in Vietnam.
12. Amendments & Updates
- Seller reserves the right to update these Terms at any time.
- Continued business with Seller implies acceptance of the latest Terms and Conditions.
